MaxiYo End User License Agreement

This End User License Agreement (“Agreement”) is a binding agreement between you (“End user” or “you”) and MaxiYo (“Company”, “we”, “us”, or “our”). This Agreement governs the relationship between you and us, and your use of the Company’s software application, including all related documentation (the “Software”).

By downloading, installing, or using the Software, you (a) acknowledge that you have read and understand this Agreement; (b) represent that you are of legal age to enter into a binding agreement; and (c) accept this Agreement and agree that you are legally bound by its terms. If you do not agree to these terms, do not download, install, or use the Software, and delete it from your mobile device or computer.

1. License Grant
   Subject to the terms of this Agreement, the Company grants you a non-transferable, non-exclusive license to download, install, and use the Software on devices that you own or control.
2. License Restrictions
   You agree not to:

Modify, translate, adapt, or otherwise create derivative works or improvements of the Software;
Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Software;
Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party;
Remove any proprietary notices from the Software;
Use the Software in any manner that could disable, overburden, damage, or impair the software or interfere with any other party’s use of the Software.

3. Reservation of Rights
   The Software is licensed, not sold, to you by the Company. The Company reserves all rights not expressly granted to you in this Agreement.
4. Collection and Use of Your Information
   You acknowledge that when you download, install, or use the Software, the Company may collect information about your device and your use of the Software. You may also be required to provide certain information about yourself as a condition to downloading, installing, or using the Software.
5. Updates
   The Company may provide Software updates in its sole discretion, which may include upgrades, bug fixes, patches, or new features. The Company has no obligation to provide Updates.
6. Term and Termination
   This Agreement and your rights under it will terminate immediately without notice if you fail to comply with any provision of this Agreement. Upon termination, you must cease all use of the Software and delete all copies.
7. Disclaimer of Warranties
   The Software is provided “as is” without warranty of any kind. The Company disclaims all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
8. Limitation of Liability
   In no event will the Company or its affiliates be liable for any special, incidental, indirect, or consequential damages.
9. Governing Law
   This Agreement is governed by and construed in accordance with the laws of the State of Kentucky, United States.
